Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Kirtonic platform (the “Service”) operated by Kirtonic Ltd (company number 16693710, registered office Guildhall Place, Market Hill, Cambridge, CB2 3QJ, United Kingdom) (“Kirtonic”, “we”, “our”). By creating an account, accessing the Service, or executing an order form, you (“Customer”) agree to be bound by these Terms.
For Customers on Enterprise plans, a bespoke order form or Master Service Agreement supersedes these Terms to the extent of any conflict.
1. The Service
Kirtonic provides a software-as-a-service AI firewall comprising classification, policy enforcement, audit logging, a browser extension, and related APIs. The specific features available to you depend on your subscription tier as set out on the pricing page.
2. Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your workspace. You must notify us promptly of any unauthorised use of your account. You must be at least 18 years old and authorised to bind your organisation to these Terms.
3. Acceptable use
You agree not to:
- Use the Service to violate any applicable law or regulation, or to infringe any third party's rights.
- Reverse-engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by mandatory law.
- Attempt to circumvent or disable any security, rate-limiting, or access-control feature of the Service.
- Use the Service to generate content that violates the policies of the AI providers you connect to it.
- Resell, rent, or sub-license the Service to a third party without our prior written consent.
4. Customer data and provider credentials
Data submitted to the Service through your workspace (including prompts, model outputs, decisions, and audit events) remains your data. AI provider API keys you supply are encrypted at rest using authenticated symmetric encryption and are not returned to the browser after storage. You grant Kirtonic a limited licence to process this data for the sole purpose of delivering the Service.
Kirtonic does not train models on your data. Anonymised usage statistics (counts, latency, severity distributions) may be retained for capacity planning and product analytics.
5. Subscription, billing, and trials
Paid plans are billed monthly or annually in advance via Stripe. A seven-day free trial is offered on first subscription to a paid plan and may be cancelled at any time before the trial ends without charge. Charges are non-refundable except where required by law.
Plan limits (classifications, seats, retention) are set on the pricing page and may be revised on no less than thirty (30) days' notice for active subscriptions.
6. Service availability
Kirtonic operates the Service on a commercially reasonable basis, with planned maintenance windows notified in advance where practicable. Specific availability commitments and service credits, where offered, are documented in the order form applicable to the relevant Enterprise engagement.
7. Intellectual property
The Service, including all software, content, branding, and documentation, is the property of Kirtonic and its licensors. These Terms do not grant you any right to our trademarks or brand identity. You retain all rights in your own data and configuration.
8. Confidentiality
Each party agrees to treat the other's confidential information with the same standard of care it applies to its own confidential information, and not less than a reasonable standard of care. Confidential information does not include information that is publicly available through no breach of these Terms.
9. Disclaimer of warranties
The Service is provided “as is” and “as available”. Save as expressly set out in these Terms, Kirtonic makes no representation or warranty regarding the Service, including its accuracy, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
AI classification is a probabilistic process. Kirtonic is not responsible for decisions made on the basis of classifier output where the Customer has not implemented appropriate human-in-the-loop review.
10. Limitation of liability
Save in respect of fraud, death or personal injury caused by negligence, or any liability that cannot be excluded by law, Kirtonic's total aggregate liability arising under or in connection with these Terms is limited to the fees paid by the Customer to Kirtonic in the twelve (12) months immediately preceding the event giving rise to the claim.
Neither party shall be liable for indirect, consequential, or special losses, or for loss of profit, revenue, goodwill, or anticipated savings.
11. Termination
Either party may terminate these Terms on thirty (30) days' written notice. Kirtonic may suspend or terminate access immediately on material breach by the Customer, including breach of clause 3 (Acceptable use). On termination, you may export your data within thirty (30) days; thereafter we may delete it.
12. Changes to these Terms
We may revise these Terms from time to time. Material changes will be notified to the workspace owner's registered email at least thirty (30) days before they take effect. Continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising under them, save that either party may seek injunctive relief in any competent jurisdiction to protect its intellectual property.
